This agreement is between you and Guidance Software, Inc. (“Guidance”) and governs
        your use of the beta (test) version of EnCase® Forensic software, related software
        components, and documentation (all of which are referred to herein as the "EnCase
        Software").
        

        BY CLICKING “I AGREE” BELOW, OR BY DOWNLOADING, INSTALLING OR USING THE ENCASE SOFTWARE,
        YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS
        OF THIS AGREEMENT, PLEASE DO NOT DOWNLOAD, INSTALL OR USE THE ENCASE SOFTWARE.

        1. License and Certain Restrictions.
        

        1.a Authorized Use. For the Term, Guidance grants you a temporary, limited, royalty-free,
        nonexclusive, nontransferable license to use copies of the EnCase Software in 
        machine-readable executable code for purposes of testing on your internal non-production 
        computer network.
        

        1.b. Restrictions on Use. You may not (i) decompile, reverse engineer, disassemble,
        create derivative works or otherwise reduce the EnCase Software to human-perceivable
        form; (ii) modify, adapt, translate, rent, sublicense, transfer, assign, dispose,
        loan, resell for profit, distribute, or network the EnCase Software; (iii) copy
        the printed materials, if any, accompanying the EnCase Software or print multiple
        copies of any user documentation, without Guidance’s prior written consent.; (iv)
        remove or alter any proprietary notices or marks on the EnCase Software; (v) use
        the EnCase Software for production use; (vi) use the EnCase Software as an aid or
        tool for the creation of any new software; or (vii) use the EnCase Software as a
        mechanism for training or aiding any party in the performance of the foregoing prohibited
        activities.
        

        1.c. Periodic Reports. In consideration of the granting of this license, you agree
        to provide Guidance with periodic reports that describe (i) the results of your
        use and evaluation of the EnCase Software, including any defects found in the EnCase
        Software and any information necessary for Guidance to evaluate such defects, and
        (ii) any recommendations for changes or modifications to the EnCase Software.
        

        2. Right to Use Your Evaluation. You agree that Guidance shall have the right to
        use, in any manner and for any purpose, any information gained as a result of your
        use and evaluation of the EnCase Software. Such information shall include but not
        be limited to changes, modifications and corrections to the EnCase Software. Guidance
        shall have the right to use, in its sole discretion, all such information, including
        but not limited to use by incorporation of such information into computer programs
        and documentation for assignment, license, or other transfer to third parties.
        

        3. Ownership. The EnCase Software shall remain the exclusive property of Guidance
        and shall not be used in any way other than as allowed by this Agreement. Your acknowledge
        that the EnCase Software and all copyrights, trade secret rights, and other intellectual
        property rights with respect thereto, are and will at all times be the property
        of Guidance, even if suggestions made by you are incorporated into subsequent versions
        of the EnCase Software.
        

        4. Confidentiality.
        

        4.1. Acknowledgment of Trade Secrets. You acknowledge that the EnCase Software contains
        valuable trade secrets and confidential information owned by Guidance, including
        but not limited to the development status of the EnCase Software, the functionality
        and features of the EnCase Software, the appearance, content and flow of the EnCase
        Software’s screens, the method and pattern of user interaction with the EnCase Software,
        and the content of the EnCase Software’s documentation. (“Confidential Beta Information”)
        

        4.2. Use. You agree to use the Confidential Beta Information only for the limited
        term of this license and solely for the purpose of testing the EnCase Software,
        and further agrees to take all steps reasonably necessary to maintain and protect
        the Confidential Beta Information in the strictest confidence for the benefit of
        Guidance.
        

        4.3. No Disclosure to Third Parties. You agree that you will not at any time permit
        any third party, nor any employee, representative or agent thereof, to have access
        to the EnCase Software or to disclose or provide access to any knowledge of trade
        secrets and Confidential Beta Information regarding the EnCase Software to any such
        third parties.
        

        4.4. Confidential Nature of Licensee Network. Guidance acknowledges and agrees that
        if, during the course of your testing of the EnCase Software, you disclose information
        to Guidance that you identify as your confidential information Guidance shall keep
        such information in confidence and treat it in the same manner that it treats its
        own Confidential Information of a similar nature.
        

        5. Technical Support. Technical support is not provided for the EnCase Software.
        

        6. DISCLAIMER OF ALL WARRANTIES. YOU ACKNOWLEDGE AND AGREE THAT YOU ARE RECEIVING
        A PRELIMINARY FUTURE VERSION OF ENCASE SOFTWARE AND THIS ENCASE SOFTWARE MAY CONTAIN
        BUGS, DEFECTS, ERRORS, NOT OPERATE PROPERLY, MAY NOT PERFORM ALL FUNCTIONS, FOR
        WHICH IT IS INTENDED OR REPRESENTED, AND MAY NOT OPERATE ERROR-FREE. YOU ACKNOWLEDGE
        AND AGREE THE ENCASE SOFTWARE IS PROVIDED “AS-IS” AND YOU UNDERSTAND YOU ARE ASSUMING
        ALL RISKS OF ITS USE, QUALITY, AND PERFORMANCE. DUE TO THE NATURE OF DEVELOPOMENT
        WORK, GUIDANCE PROVIDES NO ASSURANCE THAT ANY DEFECT OR PROBLEM IN THE ENCASE SOFTWARE
        WILL BE CORRECTED. GUIDANCE DISCLAIMS ANY AND ALL WARRANTIES WITH RESPECT TO THE
        ENCASE SOFTWARE, WHETHER EXPRESS OR IMPLIED, INCLUDING SPECIFICALLY THE IMPLIED
        WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
        

        7. Disclaimer of Liability. Because of the nature of this Agreement, you acknowledge
        and agree that Guidance shall have no liability whatsoever for any problems in or
        caused by the EnCase Software and that in no event shall Guidance be liable for
        any direct, indirect, special, incidental, or consequential damages (including,
        but not limited to: damages for loss of business, loss of profits or investment,
        or the like), whether based on breach of contract, breach of warranty, tort (including
        negligence), product liability or otherwise, even if Guidance or its representatives
        have been advised of the possibility of such damages, and even if a remedy set forth
        herein is found to have failed of its essential purpose. You agree that the limitations
        of damages set forth above are fundamental elements of the basis of the bargain
        between Guidance and you, and that Guidance would not be able to have provided this
        EnCase Software without such limitations. Additionally, you acknowledge and agree
        that you shall have the sole responsibility for protecting your data used in connection
        with the EnCase Software.
        

        8. Term and Termination; Survival. The term of this Agreement shall be two (2) months
        from the earlier of the time you click “I Agree” below, or download, install or
        use the EnCase Software (“Term”), unless sooner terminated as provided herein, or
        extended by both parties. At any time during the Term, however, Guidance may terminate
        the license granted by this Agreement by providing written notice to you. Such termination
        shall be effective immediately. Upon expiration of the Term or termination of this
        Agreement, you agree to (i) erase or otherwise destroy all copies of the EnCase
        Software that are fixed or resident in the memory or hard disks of computers owned
        or controlled by you and (ii) return to Guidance all other existing copies (including
        original copies) of part or all of the EnCase Software. Upon the expiration of the
        term, or any termination of this Agreement, Sections 1, 3, 4, and 6 through 9 shall
        survive.
        

        9. General Provisions
        

        9.1. Entire Agreement. You acknowledge that this Agreement is a complete statement
        of the agreement between Guidance and you, and that there are no other prior or
        contemporaneous understandings, promises, representations, or descriptions regarding
        the EnCase Software or any related services. The parties agree that any modifications
        to this Agreement, or any additional representations, commitments, or warranties
        shall not be binding on Guidance unless such modifications are in writing and signed
        by an officer of Guidance.
        

        9.2. No Waiver. This Agreement does not limit any rights that Guidance may have
        under trade secret, copyright, patent, or other laws. The waiver or failure of Guidance
        to exercise in any respect any rights provided for in this Agreement shall not be
        deemed a waiver of any further right under this agreement.
        

        9.3. U.S. Government Users. The EnCase Software and accompanying documentation are
        “Commercial Items” and “Commercial software documentation,” as such terms are used
        in 48 C.F.R. 12.212 (SEPT 1995) and are provided to the Government (i) for acquisition
        by or on behalf of civilian agencies, consistent with the policy set forth in 48
        C.F.R. 12.212; or (ii) for acquisition by or on behalf of units of the Department
        of Defense, consistent with the policies set forth in 48 C.F.R. 227.7202-1 (JUN
        1995) and 227.7203-3 (JUN 1995).
        

        9.4. Export. The parties agree to comply with all applicable laws and regulations
        that apply to the EnCase Software, including but not limited to, U.S. export control
        and licensing laws and regulations.
        

        9.5. Interpretation and Applicable Law. If any provision of this Agreement is invalid
        or unenforceable under applicable law, then it is, to that extent, deemed omitted
        and the remaining provisions will continue in full force and effect. The validity
        and performance of this Agreement shall be governed by California law (without reference
        to choice of law principles), except as to copyright and trademark matters, which
        are covered by federal laws. This Agreement is deemed entered into at Los Angeles,
        California, and shall be construed as to its fair meaning and not strictly for or
        against either party.
